1. Agreement to Terms

By accessing or using ScopeShift ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Provider: ScopeShift Ltd, registered in England and Wales

Customer: The individual or entity subscribing to the Service

2. Service Description

ScopeShift is a cloud-based software platform for managing variation orders in construction projects, including:

  • Variation order creation, tracking, and approval workflows
  • Mobile application for field operatives (Android)
  • Photo capture, signature collection, and document management
  • Time and materials tracking
  • Client portal for approvals
  • PDF generation and email/WhatsApp notifications
  • QuickBooks and Xero integration (optional)
  • Advanced dashboard and analytics

Service Availability:

Target Uptime: 99.5% monthly uptime (excluding scheduled maintenance)
Scheduled Maintenance: 2:00 AM - 5:00 AM UK time with 48 hours notice

Billing Cycle: Monthly or Annual (10% discount on annual plans)
VAT: Prices exclude VAT. VAT will be added where applicable (UK standard rate: 20%)

4. User Responsibilities

Account Security

You are responsible for:

  • Maintaining confidentiality of account credentials
  • All activities under your account
  • Notifying us immediately of unauthorized access

Acceptable Use

You agree NOT to:

  • Violate laws or regulations
  • Infringe intellectual property rights
  • Upload malicious code (viruses, malware)
  • Attempt to breach security measures
  • Reverse engineer or decompile the software
  • Resell or sublicense the Service without authorization

5. Intellectual Property Rights

Our Intellectual Property

We own the ScopeShift software, source code, designs, trademarks, and all intellectual property rights in the Service. You receive a non-exclusive, non-transferable, revocable license to use the Service during your subscription term.

Your Content

You own all data and content you upload (variation orders, photos, documents). You grant us a license to store, process, and display your content to provide the Service. We do NOT claim ownership of your content.

6. Limitation of Liability

IMPORTANT LIABILITY LIMITS

Liability Cap: Our total liability to you for all claims shall not exceed the total fees paid by you in the 12 months immediately preceding the claim.

Excluded Damages: We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Exceptions (Unlimited Liability): Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, gross negligence, or violation of your data protection rights.

7. Termination

Termination by You

You may cancel anytime via Settings → Billing → Cancel Subscription. Access ends at the end of your current billing period.

Monthly: No refund
Annual: No refund for unused portion (unless termination for breach)

Termination by Us

We may terminate immediately if you breach these Terms, fail to pay fees (10 days past due), or engage in illegal activities.

For Cause: Immediate termination, no refund
Without Cause: 90 days notice, prorated refund

Data Upon Termination:

Within 30 days of termination, you may export your data. After 30 days, we will delete your data (except as required by law - 7 years for construction records).

8. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of England and Wales.

Jurisdiction: The courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.

Pre-Litigation Resolution: Before initiating litigation, parties will attempt to resolve disputes through good-faith negotiation (30 days).
